1. Agreement to These Terms

These terms work together with our Privacy Policy and with the written season plan for any engagement. If a signed season plan states a term that differs from this page, the signed plan controls for that engagement. In all other respects, this page sets the baseline for how we work together.

We have written these terms in plain language on purpose. Where a phrase sounds formal, it carries its ordinary meaning. If any part is unclear, please ask us before you agree, and we will explain it in a way that suits your situation.

2. Who We Are

Beeswicks LLC is a computer systems design studio registered in the United States. The company operates a hive bay studio that designs integrated systems for working apiaries, pollination contractors, and honey houses. Our physical address is 617 E 5000 S, Myton - 84052-1217, United States (US). You can reach us by email at hello@beeswicks.buzz or by telephone at +19893005330 during normal business hours.

Throughout these terms, the words we, us, and our refer to Beeswicks LLC, and the words you and your refer to the person or organisation that uses the website or enters an engagement. If you enter an engagement on behalf of an organisation, you confirm that you are authorised to do so.

The studio is small by design. That allows a named engineer to know your yard, to visit the bench, and to answer your questions directly. It also means that our capacity in any given season is limited, and the terms below reflect that reality in an honest way.

3. Eligibility and Authority

You must be at least eighteen years old to enter an engagement, and you must have the legal capacity to form a binding contract. If you act for a company, a partnership, or another organisation, you confirm that you have the authority to bind that organisation to these terms.

You also confirm that the information you give us about yourself and about your yard is accurate and that you will keep it up to date. If the details change during an engagement, please tell us promptly so that our records and our schedule remain correct.

We may decline an engagement, or end one that has begun, if we have a reasonable basis to believe that the information provided is false, that the engagement would require us to break the law, or that continuing would put our crew or your crew at risk.

4. The Services We Provide

We provide the hive bay design and support services described on our services page. These include the candle dipping desk, comb rendering rounds, swarm care weeks, frame inspection days, honey house sessions, and smoker maintenance evenings. Each service is a scheduled desk inside the bay, and each can be taken alone or as part of a full season package.

Our work is professional, scientific, and technical in nature. It combines field observation, record design, software configuration, training, and seasonal review. We do not sell honey, we do not operate a farm market, and we do not act as a broker for any product. Our deliverable is a working system and the knowledge to run it.

We may update, refine, or replace a component of the service as the studio learns from real yards. Where an update would materially change the deliverable you have paid for, we will discuss it with you before it is applied to your bay.

5. Engagement and Scoping

Every engagement begins with a written season plan. The plan describes the desks you have chosen, the visits we will make, the records we will build, the training we will deliver, and the fees that apply. Nothing is billable until both parties have agreed to the plan in writing.

Scoping is based on a walk of the yard. If the walk reveals a condition that changes the scope, we will tell you before work continues and will issue a revised plan for your approval. We will not silently expand a scope, and we will not charge for work that you have not approved.

If you ask for a change after the plan is signed, we will assess the effect on the schedule and the fee and will confirm it in writing. A small change may be handled in a short email, and a larger change will be handled through a revised plan. In either case, the written record is what counts.

6. Client Responsibilities

You agree to provide accurate information about your yard, your crew, and your current records. You agree to make a responsible person available to answer questions during the engagement, to review drafts within a reasonable time, and to confirm when a deliverable meets your needs.

You agree to ensure that any personal information you share with us about your crew or your customers may lawfully be shared for the purpose of the engagement. Where the law requires you to give a notice or to obtain a consent before sharing that information, you agree to do so.

You agree to keep your own copies of any record that matters to you. We take backups and we test them, but the studio is not a substitute for your own archive of a season, and you should not rely on us as the only holder of a record that you need.

7. Yard Access and Safety

When we visit a yard, you agree to provide safe access to the hives, the honey house, and any area we need in order to deliver the service. You agree to tell us about any known hazard before the visit, including unstable ground, aggressive colonies, electrical risk, or an animal on the property.

Beekeeping carries inherent risk, and a yard visit is not a guarantee of safety. Our crew will follow reasonable practice and will follow your site rules where those rules are stricter than our own. If a condition at the yard makes a visit unsafe, our crew may pause the work and reschedule, and the pause will not count as a breach of the engagement.

The hive bay is a design and support service. It does not replace the judgement of a beekeeper at the hive, and it does not transfer responsibility for the physical care of a colony to the studio. A decision about a frame, a queen, or a treatment remains with the person who holds the colony.

8. Fees and Payment

The fees for an engagement are set out in the season plan. Unless the plan says otherwise, we issue an invoice at the start of each season window and a second invoice at the close. Invoices are payable within thirty days of the date of issue.

Fees cover the desks, visits, records, and training described in the plan. Travel beyond an agreed radius, additional visits, and work outside the agreed scope are billed at the rate stated in the plan, and we will confirm any such charge in writing before it is incurred.

If an invoice remains unpaid after the due date, we may pause work until the account is settled. We will give you notice before we pause, and we will not delete a record that you own as a way of collecting a debt. If a payment dispute arises, please raise it promptly and we will work through it in good faith.

9. Scheduling and Season Windows

Swarm season, inspection days, and honey house sessions all compete for a limited number of working days. A season window is held for you once the plan is signed, and we will tell you at that point which weeks are reserved for your yard.

If you need to move a reserved window, please tell us as early as you can. We will do our best to accommodate the change, but a late move may not be possible during peak weeks, and a window that is moved without reasonable notice may be treated as used.

If we need to move a window for a reason within our control, we will offer an alternative date at no additional charge. If the move is caused by weather, a safety condition, or another event outside our control, we will reschedule at the earliest practical date.

10. Intellectual Property

The hive bay software, the studio methods, the templates, and the written materials we provide remain the property of Beeswicks LLC or its licensors. We grant you a non exclusive licence to use them for your own yard for as long as the engagement continues and, for the records you own, for as long as you need them.

You may not resell the software, sublicense it to another yard, or present it as your own product. You may make copies of the printed materials for your own crew, and you may keep an archive of your records after the engagement ends.

Any feedback you give us about the service may be used to improve the studio, and we may describe a general lesson in a case note without identifying you. We will not publish your name, your yard, or your records without your written permission.

11. Data Ownership and Export

You own the records that describe your yard. That includes frame notes, inspection sheets, comb loads, swarm calls, and honey house sessions. We hold those records on your behalf and will export them to you in an open format at any time on request.

If the engagement ends for any reason, we will provide a final export within thirty days and will then delete your personal records according to our retention policy, except for the records we must keep for tax or company law. We will confirm the export and the deletion in writing.

You are responsible for the lawful handling of any personal information about your crew or your customers that is contained in a record you provide. Our privacy policy explains how we handle that information while it is with us.

12. Confidentiality

Each party agrees to keep the confidential information of the other party private. Confidential information includes yard records, pricing, crew details, and any note that a reasonable person would treat as private. It does not include information that is already public, that was known before the engagement, or that is received from a third party without a duty of confidence.

We may disclose confidential information when the law requires it, or when disclosure is necessary to protect a person from harm. Where a disclosure is required by law, we will tell you in advance unless we are forbidden from doing so.

The duty of confidence continues after the engagement ends. It does not expire with the final invoice, and it applies to every person in the studio who had access to the information during the work.

13. Acceptable Use

You agree to use this website and the hive bay only for lawful purposes. You agree not to attempt to break the security of the site, not to interfere with another user, not to upload malicious code, and not to use the contact form to send spam or unlawful content.

You agree not to reverse engineer the software except where the law gives you that right, and not to remove a notice of ownership from a document that we provided. You agree not to use the service in a way that would harm the reputation or operations of another client.

If we detect misuse, we may suspend access while we investigate. We will tell you what we have found and will restore access if the concern turns out to be unfounded. We will not suspend access as a way of avoiding a legitimate question or a disputed invoice.

14. Third Party Components

The hive bay may include third party components, such as a mapping library, a calendar component, or a hosting service. Those components are governed by their own licences and terms. We choose components that are widely used and that we believe are maintained, and we tell you in the plan where a component carries a notable condition.

We are not responsible for a change that a third party makes to its own component outside our control. If such a change affects your bay, we will tell you and will propose a remedy. Where the change makes a component unsuitable, we will look for a replacement that meets the same need.

You agree to comply with the licence of any third party component that you use directly. A copy of the relevant notices is available on request, and we will include them in the handover pack for a new bay.

15. Warranties and Disclaimers

We warrant that we will perform the services with reasonable skill and care and in line with the season plan. We warrant that the deliverable will match the description in the plan in all material respects. These are the only warranties we give, and they replace any warranty that the law might otherwise imply.

The website is provided as it is. While we work to keep it available and accurate, we do not promise that it will be free from error, that it will always be online, or that it will meet a particular purpose beyond the one described in the plan.

We do not warrant a particular result at the hive. A colony can fail for reasons that no software can see, and the health of a yard depends on weather, forage, disease, and the decisions of the beekeeper. Our promise is about the quality of the system and the honesty of the record, not a guarantee about a harvest.

16. Limitation of Liability

To the extent the law allows, our total liability under an engagement is limited to the fees paid for that engagement during the twelve months before the event that gave rise to the claim. This limit applies whether the claim sounds in contract, in tort, or in any other form.

We are not liable for indirect loss, lost profit, lost honey, lost market opportunity, or damage to a colony that is not caused by our breach. We are not liable for a failure that results from a decision made at the hive by your crew or by another party.

Nothing in these terms limits a liability that the law does not allow us to limit. If a court finds that a limit in this section is unenforceable, the rest of the section will remain in force and the unenforceable part will be adjusted to the minimum extent needed.

17. Indemnification

You agree to indemnify Beeswicks LLC against a claim that arises from your breach of these terms, from unlawful content that you provide, or from your failure to obtain a consent that the law requires for the information you share with us. This obligation applies only to the extent the claim is caused by your conduct.

We agree to indemnify you against a claim that the hive bay, as delivered by us, infringes a third party copyright or trade secret, provided that you tell us promptly, allow us to control the defence, and give us the information we need. This obligation does not apply where the claim results from a change that you made without our agreement.

Before either party seeks an indemnity, the parties will attempt to resolve the matter directly. An indemnity is a last resort, and the studio would rather fix a problem in the yard than argue about it in writing.

18. Term and Termination

An engagement begins on the date set in the season plan and continues until the plan is complete or until it is ended under this section. The website terms apply for as long as you use the website.

Either party may end an engagement for convenience with thirty days of written notice. If you end an engagement early, you remain responsible for the fees for work completed and for any committed third party cost. If we end an engagement for convenience, we will refund the unused portion of any prepaid fee.

Either party may end an engagement immediately if the other party commits a material breach and does not fix it within fifteen days of written notice, or if the other party becomes unable to pay its debts. On termination, we will provide the final export described in section 11 and will confirm the closure in writing.

19. Governing Law and Disputes

These terms are governed by the law of the State of Utah and by the federal law of the United States, without regard to conflict of law rules. The courts located in Utah have exclusive jurisdiction over a dispute that cannot be resolved informally, and each party consents to that jurisdiction.

Before filing a claim, the parties agree to attempt to resolve the dispute in good faith. The complaining party will send a written notice that describes the issue and the remedy sought, and the other party will reply within fifteen business days. The parties will then meet, by phone or in person, to look for a practical resolution.

Nothing in this section prevents either party from seeking urgent relief from a court to protect a right that cannot wait, such as a request to prevent misuse of confidential information.

20. Changes to These Terms

We may update these terms from time to time. When we make a material change, we will update the effective date at the top of the page and will describe the change in a short note. A change applies to a new engagement when it is posted, and it applies to an existing engagement only where the parties agree in writing or where the law requires it.

If a change would reduce a right that you already hold under an active engagement, we will give you reasonable notice and a chance to object before the change takes effect. If you object, the version that applied when your engagement began will continue to govern that engagement.

We encourage you to keep a copy of the terms that applied when you signed your plan, so that you can compare it with a later version if a question ever arises.

21. General Provisions

These terms and the season plan form the entire agreement between the parties on the subject of the engagement. They replace any earlier discussion, proposal, or draft. A statement made during a sales conversation does not add to the agreement unless it is written into the plan.

If any provision of these terms is found to be invalid or unenforceable, that provision will be adjusted to the minimum extent needed and the remaining provisions will stay in force. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.

You may not assign an engagement without our written consent. We may assign an engagement to a successor in a reorganisation, provided that the successor agrees to be bound by these terms. Neither party is liable for a delay caused by an event outside its reasonable control, provided that the affected party tells the other party promptly and works to reduce the effect.

A notice under these terms must be in writing and sent to the email address or the postal address on this page. A notice sent by email is treated as received on the next business day after it is sent, unless the sender receives a delivery failure.

22. How to Contact Us

If you have a question about these terms, please contact us before you sign a plan. Our postal address is 617 E 5000 S, Myton - 84052-1217, United States (US). Our email address is hello@beeswicks.buzz and our telephone number is +19893005330. We aim to reply to every question within one business day.
